英文Extraordinary General Meeting的缩写，指公司为某一特别目的——例如通过合并计划或增资而召开的股东大会。 股东特别大会与股东年会(AGM)不同，后者是股东表决通过公司财务报表、股息支付和选举董事的年度例行会议。

A company meeting of shareholders called for an extraordinary purpose such as the approval of a merger or a capital increase. In contrast with the annual general meeting, which is a routine meeting of shareholders to approve the accounts and dividend payments and to elect directors.
